有多少次,你对发明者说:"我们不要为你的想法申请专利,但要保守商业秘密"? 紧接着,你就会把这个想法扔进一个深不见底的黑洞,再也见不到了......这不是对待公司宝贵资产的方式!

Tangibly 团队一直积极参加世界各地的会议,宣传商业秘密日益增长的重要性,以及如何以应有的关爱和尊重处理商业秘密。

以下是我们的一些观察结果:

1) 商业秘密不仅仅是一个流行词

甚至在几年前,"商业秘密 "还只是一个流行词或事后的想法。 今年,商业秘密的新闻、理解和诉讼大幅增加。 IAM 和 Kisaco 在美国、欧洲和亚洲举办了高质量的活动,汇集了来自律师事务所和企业的专家。
商业秘密诉讼以及胜诉原告获得的巨额赔偿也越来越受到关注。 我们看到商业秘密纠纷遍及软件、医药、造船甚至啤酒等众多市场!

2) 每个人都有 "如何做 "的实际问题

尽管关注度越来越高,但大多数人并不知道该如何切实保护他们宝贵的商业秘密。 部分挑战在于,没有多少服务提供商、软件开发商和律师事务所提供实用的前瞻性工具和咨询。 我们Tangibly公司认为这是一个巨大的机会,可以改善建议和管理服务,使公司更容易识别和保护其宝贵资产。

3) 何谓 "合理"?

显然,什么都不做,寄希望于最好的结果,或者等到遭遇盗用时才行动,是远远不够的。 这是不合理的!

每个人都知道,保护商业秘密的最低标准是采取 "合理措施",但这意味着什么呢? 当然,这并没有一个清晰明确的定义。

合理性取决于具体情况,并权衡商业秘密本身的重要性或价值以及商业秘密所有人的状况等因素。 一家拥有大量知识产权预算和员工的大型跨国公司应该比一家处于困境的初创公司投入更多的资源。 同样,"皇冠上的明珠 "般珍贵的商业秘密应该比普通或低价值的商业秘密得到更多的保护。

4) 商业秘密的估值具有挑战性

随着商业秘密逐渐被接受为一种额外的资产类别,每个人都会想到一个显而易见的问题:"如何对商业秘密进行估值? 这在很大程度上是一个开放性的问题,简短的答案似乎是 "真的很难"。
就像专利一样,如果商业秘密附带有收入流和净现值,就会容易一些,但许多商业秘密并不直接与特定产品相关。 例如,客户和供应商关系、定价模式和竞争情报都不会产生收入。

 

对于商业秘密来说,2023 年是伟大而激动人心的一年,我们 Tangibly 期待 2024 年的教育性和启发性。
