我喜欢 "完美是好的敌人 "这句话。意思是说,如果你坚持要求所有事情都绝对完美,那么实际上什么也做不成,包括完美的改进。这一说法至少可以追溯到 1772 年伏尔泰的一首诗《La Begueule》。虽然这首诗肯定不是关于机密信息和商业秘密的,但这一表述却非常适用。

没有一项商业秘密法规要求完美地保护你宝贵的商业秘密。所要求的谨慎标准是 "合理措施",而不是 "终极措施 "或 "完美措施"(例如,参见美国《商业秘密法》第 18 U.S.C. 1839(3)(A)条和《商业秘密法》第 1(4)(ii)条)。

许多人在开始商业秘密之旅的时候都会因恐惧而瘫痪,选择什么都不做。他们会问很多假设性的 "如果 "问题,比如 "如果我错过了一个商业秘密的编目怎么办?"或 "如果员工没有完成商业秘密培训课程怎么办?"或 "如果贡献者不承认该资产是商业秘密怎么办?"。他们最终什么也没做,无法保护这些宝贵的资产。

什么都不做可能会导致灾难性的结果。

在 RV Horizons, Inc. 诉 Smith 案中,被告在简易判决中胜诉,因为 RV Horizons 没有提供限制访问有争议的投资者名单的具体证据,没有保密协议、员工手册或培训的证据,也没有证据表明 RV Horizons 曾告诉被告投资者名单是商业秘密。参见 Civ.A. No. 18-cv-02780-NYW, 2020 WL 6701119, at *26-27 (D. Colo. Nov. 13, 2020).

还有很多其他的例子--什么都不做,就无法保护自己的资产。

至少要合理

现实情况是,"合理措施 "在任何地方都没有明确定义,而且取决于事实和情况。决定 "合理 "努力程度的因素可能有很多。公司拥有的商业秘密多还是少?该行业是否竞争激烈,存在大量的公司间谍和员工挖角行为?公司是拥有大量资源的大型跨国公司,还是两个人在车库里挣扎求生的初创公司?

当然,什么都不做是不合理的。你总是可以为你的商业秘密提供超出合理范围的保护,但至少要采取合理的措施。

法院并不要求尽善尽美。

一个经典的标志性案例可以追溯到 1970 年的 E.I. du Pont deNemours & Co. v. Christopher 案。在该案中,被告飞越了杜邦公司正在建设中的设施,并进行了航拍,以了解杜邦公司的生产工艺商业秘密。法院认为,"我们可以要求对掠夺性的目光采取合理的预防措施,但一个坚不可摧的堡垒是一个不合理的要求,我们不愿意为了保护工业发明者的努力成果而让他们承担这样的责任"。见 431 F.2d 1012 (5th Cir. 1970)。

做点什么

开始保护您的机密信息和商业秘密。您可以先将您的资产、可以接触到的人员以及规定保密的合同编成目录。您可以对员工进行培训,让他们知道该如何使用(以及不该如何使用!)您的商业机密。

不要因为害怕不能做到完美而不去做好甚至做不好保护资产的工作。
