When you first, when you sent me this, yeah, when you sent me this, I thought you were being kind of a jerk, but like, no, this is actually real. The deeper you get into it, you realize, you know, whoever came up with this acronym was just being a, you know, was being.<\/p>\n<p data-start=\"398\" data-end=\"451\"><strong data-start=\"398\" data-end=\"422\">Chris Buntel (00:15)<\/strong><br data-start=\"422\" data-end=\"425\" \/>It\u2019s a trap. Had to start.<\/p>\n<p data-start=\"453\" data-end=\"658\"><strong data-start=\"453\" data-end=\"468\">Tim (00:39)<\/strong><br data-start=\"468\" data-end=\"471\" \/>Maybe kind of funny, I guess, if not ironic. So, let\u2019s just get into TRAPs. A training repayment agreement provision. What the heck is this? And why should we care as trade secrets nerds?<\/p>\n<p data-start=\"660\" data-end=\"690\"><strong data-start=\"660\" data-end=\"684\">Chris Buntel (00:54)<\/strong><br data-start=\"684\" data-end=\"687\" \/>So.<\/p>\n<p data-start=\"692\" data-end=\"1054\">Well, I mean, no one likes a trap and no one likes falling into them. But this is really a clever workaround of what\u2019s happening with noncompetes. And we\u2019ve talked about noncompetes along with lots of other people and how noncompetes are under tremendous pressure at federal and state level as restricting people\u2019s ability to change jobs and feed their families.<\/p>\n<p><strong data-start=\"453\" data-end=\"468\">Tim (00:59)<br \/><\/strong>Right.\u00a0<\/p>\n<p data-start=\"1081\" data-end=\"1183\"><strong data-start=\"1081\" data-end=\"1105\">Chris Buntel (01:26)<\/strong><br data-start=\"1105\" data-end=\"1108\" \/>So there\u2019s all this negativity directed at noncompetes, which I understand.<\/p>\n<p data-start=\"1185\" data-end=\"1407\">This, know, TRAPs are relatively new and in a way they\u2019re kind of clever way of getting a similar result of a noncompete, but without being a noncompete. So the idea is that it\u2019s basically you stay working for the company.<\/p>\n<p data-start=\"1409\" data-end=\"1707\">But if you decide to leave for any reason, you have to pay them back some money. So it\u2019s often called a stay or pay contract. And the idea behind it is the employer in theory provides lots of training and time and effort to making you into a good new employee. And if you leave, they suffer damage.<\/p>\n<p data-start=\"1709\" data-end=\"1927\">And as a result, you have to repay them. So that\u2019s kind of the concept. But for a lot of normal employees, they can\u2019t afford to repay. So it\u2019s very much trapping that employee with that employer. So again, it\u2019s clever.<\/p>\n<p data-start=\"1929\" data-end=\"1972\"><strong data-start=\"1929\" data-end=\"1944\">Tim (02:41)<\/strong><br data-start=\"1944\" data-end=\"1947\" \/>Have they been litigated?<\/p>\n<p data-start=\"1974\" data-end=\"2185\"><strong data-start=\"1974\" data-end=\"1998\">Chris Buntel (02:44)<\/strong><br data-start=\"1998\" data-end=\"2001\" \/>They are starting to be litigated. And just like what we\u2019ve seen with noncompetes, the courts are saying TRAPs are not inherently wrong, but they have to be tailored very specifically.<\/p>\n<p data-start=\"2187\" data-end=\"2428\">So you can imagine the courts would want to see a very short timeframe. Like if you said a TRAP lasts for 10 years or 20 years, the courts will say that\u2019s ridiculous. They also want to see the training being directed towards actual training.<\/p>\n<p data-start=\"2430\" data-end=\"2762\">Ideally, training you in some specific skill or a specific certification that has an actual price tag. The employer should be able to say, \u201cInvested $5,000 to send this person to a training class that resulted in a certification to make them a plumber, an electrician, a medical nurse, whatever.\u201d It shouldn\u2019t just say a big number.<\/p>\n<p data-start=\"2764\" data-end=\"3076\">Like shouldn\u2019t say that if you leave, you owe $2 million. Like the courts say that\u2019s ridiculous. Like you\u2019re just making up a number that is so huge that you\u2019re trapping people at the company. So it\u2019s very much being handled. And again, these are, it\u2019s a relatively new thing. So there\u2019s not a lot of litigation.<\/p>\n<p data-start=\"3078\" data-end=\"3207\">But the idea is they need to be very tightly tailored to that employee and their situation and not feel like you\u2019re being unfair.<\/p>\n<p data-start=\"3209\" data-end=\"3348\"><strong data-start=\"3209\" data-end=\"3224\">Tim (04:26)<\/strong><br data-start=\"3224\" data-end=\"3227\" \/>So I found two here, actually six cases on that Grok served up to me. And PetSmart\u2019s back in the equation, gotta love it.<\/p>\n<p data-start=\"3350\" data-end=\"3837\">Scali versus PetSmart, 2022, ongoing class action lawsuit filed in California state accused PetSmart of using deceptive TRAPs in its grooming training program requiring workers to repay up to 5,500 bucks if they left before two years, even if they were fired. Plaintiffs allege violation of California Labor Code and Consumer Protection Act. The Colorado AG also filed a separate enforcement action against PetSmart on similar grounds. Yeah, that sort of starts to smell like noncompete.<\/p>\n<p data-start=\"3839\" data-end=\"3946\">And just, you know, maybe think about a different way to motivate your employees to stick around, you know?<\/p>\n<p data-start=\"3948\" data-end=\"4283\"><strong data-start=\"3948\" data-end=\"3972\">Chris Buntel (05:30)<\/strong><br data-start=\"3972\" data-end=\"3975\" \/>Well, and the idea behind it in some ways makes sense. If the employer truly had to pay money to get an employee certified or to send them to a class, and then the employee left two months later, the employer has incurred this cost. Asking that it get repaid in a short period of time doesn\u2019t sound that bad.<\/p>\n<p data-start=\"4285\" data-end=\"4308\"><strong data-start=\"4285\" data-end=\"4300\">Tim (05:45)<\/strong><br data-start=\"4300\" data-end=\"4303\" \/>Sure.<\/p>\n<p data-start=\"4310\" data-end=\"4315\">Yeah.<\/p>\n<p data-start=\"4317\" data-end=\"4572\"><strong data-start=\"4317\" data-end=\"4341\">Chris Buntel (06:00)<\/strong><br data-start=\"4341\" data-end=\"4344\" \/>If you\u2019re talking about like a five year, it\u2019s similar to a vesting period, it\u2019s not called vesting. If it were five years and a huge amount of money, the courts will say, \u201cCome on, this is really functioning like a noncompete.\u201d<\/p>\n<p data-start=\"4574\" data-end=\"4717\">And the interesting thing that you hinted on was it actually doesn\u2019t matter where you go. So with a noncompete, you have to go to a competitor.<\/p>\n<p data-start=\"4719\" data-end=\"4852\">For a TRAP, all you have to do is leave. You actually could be unemployed at home and still fall into the trap. You don\u2019t have to go.<\/p>\n<p data-start=\"4854\" data-end=\"4931\"><strong data-start=\"4854\" data-end=\"4869\">Tim (06:38)<\/strong><br data-start=\"4869\" data-end=\"4872\" \/>Or in the case of pets, you might get fired. Yeah, exactly.<\/p>\n<p data-start=\"4933\" data-end=\"5313\"><strong data-start=\"4933\" data-end=\"4957\">Chris Buntel (06:41)<\/strong><br data-start=\"4957\" data-end=\"4960\" \/>Yeah, well, could even get fired and go home and fall into the trap. So it functions in some ways similar and in some ways much broader than a noncompete. You might recall what noncompetes, it had to be a short time, had to be a competitor, had to be a similar role as what you were doing before. And it was indirectly a way of protecting trade secrets.<\/p>\n<p data-start=\"5315\" data-end=\"5502\">TRAPs are just kind of they feel a little vindictive or, you know, it\u2019s very much a pair of handcuffs to try to keep employees, especially again, if the terms are considered unreasonable.<\/p>\n<p data-start=\"5504\" data-end=\"5527\"><strong data-start=\"5504\" data-end=\"5519\">Tim (07:15)<\/strong><br data-start=\"5519\" data-end=\"5522\" \/>Yeah.<\/p>\n<p data-start=\"5529\" data-end=\"5754\">Yeah. I mean, I think where I remember seeing this is like, you know, get law school paid for, uh, somehow, and then commit to go work in some place, right. For a number of years. And that\u2019s like, that\u2019s a great trade, right?<\/p>\n<p data-start=\"5756\" data-end=\"5979\">Um, you know, you get doctors into certain places that otherwise might be hard. Um, but you know, what you\u2019re getting into, you know, it\u2019s a big number. It\u2019s a lot of training. You know, that\u2019ll kind of, that\u2019ll make sense.<\/p>\n<p data-start=\"5981\" data-end=\"6300\">Um, yeah, this just seems like, yeah, what\u2019s the noncompete workaround? And then yeah, you\u2019re right. If it is a big amount of money and the expectation is that you\u2019re gonna be using that to the benefit of the company, yeah, I can imagine a one or two year commitment. Yeah, but the PetSmart thing is kind of ridiculous.<\/p>\n<p data-start=\"6302\" data-end=\"6341\">There\u2019s another one, HCA. Now go ahead.<\/p>\n<p data-start=\"6343\" data-end=\"6763\"><strong data-start=\"6343\" data-end=\"6367\">Chris Buntel (08:20)<\/strong><br data-start=\"6367\" data-end=\"6370\" \/>Well, I was gonna say, when I think back on when I went to law school, so I did part time law school at night while I worked at the law firm during the day. They paid for my law school for four years. They paid for the patent bar exam, the state bar exam. Like it was a considerable cash outlay, but there was an expectation that I would stay for a number of years as an attorney, which I did.<\/p>\n<p data-start=\"6765\" data-end=\"6796\"><strong data-start=\"6765\" data-end=\"6780\">Tim (08:37)<\/strong><br data-start=\"6780\" data-end=\"6783\" \/>There you go.<\/p>\n<p data-start=\"6798\" data-end=\"7216\"><strong data-start=\"6798\" data-end=\"6822\">Chris Buntel (08:50)<\/strong><br data-start=\"6822\" data-end=\"6825\" \/>For me, it was a very good experience. Years later, there was another person who went through a similar program. None of it was in writing, unfortunately. But then right after he finished law school, he quit and then went to join another law firm. That was, I thought that was pretty unfair to the law firm, but there was no written contract. This is long before TRAPs were ever around, but.<\/p>\n<p data-start=\"7218\" data-end=\"7242\"><strong data-start=\"7218\" data-end=\"7233\">Tim (09:16)<\/strong><br data-start=\"7233\" data-end=\"7236\" \/>Right.<\/p>\n<p data-start=\"7244\" data-end=\"7391\"><strong data-start=\"7244\" data-end=\"7268\">Chris Buntel (09:18)<\/strong><br data-start=\"7268\" data-end=\"7271\" \/>Yeah, to me that felt unfair, but it was the employee being unfair, not the employer. So it can kind of swing both ways.<\/p>\n<p data-start=\"7393\" data-end=\"7664\"><strong data-start=\"7393\" data-end=\"7408\">Tim (09:27)<\/strong><br data-start=\"7408\" data-end=\"7411\" \/>Yeah, yeah, that\u2019s one of those things you probably want to have a pretty deep understanding of the expectations or something in writing. But yeah, like I, I think I would be more worried about karma in that case than, you know, than the legal contract.<\/p>\n<p data-start=\"7666\" data-end=\"8451\">This as HCA, HCA healthcare 2025, one of largest US hospital operators settled claims for a three and a half million after allegations that it\u2019s TRAPs unlawfully trapped nurses by requiring repayment of training costs if they left before a two year commitment. Case involved investigations by attorneys general of California, Colorado and Nevada who claim violation of consumer protection and labor laws. Settlement prohibited HCA from enforcing such agreements in those states and voided existing debts. So my guess is that\u2019s kind of the direction that TRAPs are generally heading. And yeah, you\u2019ll be able to find a state or two that will enforce them. I\u2019d say this probably shouldn\u2019t be part of your, your sort of thoughtful employee retention strategy seems a little very specific.<\/p>\n<p data-start=\"8453\" data-end=\"8691\"><strong data-start=\"8453\" data-end=\"8477\">Chris Buntel (10:45)<\/strong><br data-start=\"8477\" data-end=\"8480\" \/>Yeah, I think these probably won\u2019t stick around very long, like probably within five or 10 years, no one will even be talking about them. Again, it was a creative workaround, so I\u2019ll give people credit that far.<\/p>\n<p data-start=\"8693\" data-end=\"9024\">But it just feels like it\u2019s going to be viewed very harshly by the courts. And to the extent that they do survive, there would have to be things like an actual receipt for a cash outlay was made by the company, or there\u2019s an actual certificate that you received by going through the training that you use in your future employment.<\/p>\n<p data-start=\"9026\" data-end=\"9229\">But the idea of just having a TRAP as a way of retaining employees is probably better just to treat your employees well and give them a good job and a good manager rather than have them fall into a trap.<\/p>\n<p data-start=\"9231\" data-end=\"9253\">That\u2019s my sage advice.<\/p>\n<p data-start=\"9255\" data-end=\"9276\" data-is-last-node=\"\" data-is-only-node=\"\">We\u2019ll talk soon. So this person of ordinary skill in the art, skilled artisan, actually comes into play a couple of different ways. There's a piece that, I'll just give a little shout out to Robert Plotkin, really great piece that he.<\/p>\n<!-- \/wp:paragraph -->\n\n<!-- wp:paragraph -->\n<p>wrote somewhat recently, January, 2025. He's a patent attorney, does a lot in software. And this piece that he published on IP Watchdog is really great. And it really sort of gets at the heart of the question I was asking, which is essentially, if you can envision a world, well, even<\/p>\n<!-- \/wp:paragraph -->\n\n<!-- wp:paragraph -->\n<p>today's world, but let's just like project out a little bit further where these AI systems are incredibly capable at predicting things and having the answer. And I think this example that we talk about, or he talks about in the article is, you know, some chemistry, right? You know, a new molecule for whatever, or, you know, a new design for a semiconductor.<\/p>\n<!-- \/wp:paragraph -->\n\n<!-- wp:paragraph -->\n<p>can imagine now that this person having ordinary skills in the art has access to these AI systems, which can kind of give you an answer sort of straight away, right? So it's not like you had to toil for five or 10 years to figure out that answer. You just went over to your computer, typed in some inputs and there's your answer, right? So there's your new molecule and it should work for all these reasons, you know, go make it.<\/p>\n<!-- \/wp:paragraph -->\n\n<!-- wp:paragraph -->\n<p>Tim (05:37.939)<\/p>\n<!-- \/wp:paragraph -->\n\n<!-- wp:paragraph -->\n<p>I guess the somewhat cynical is not quite the right word, but I'll just say cynical view is, okay, if the entirety of human knowledge is going to be readily accessible, if new and interesting capabilities are going to be a few clicks away or answers to problems are just a few clicks away, like where in the heck does that leave the patent system?<\/p>\n<!-- \/wp:paragraph -->\n\n<!-- wp:paragraph -->\n<p>And then we'll get into trade secrets in a bit, but I guess I postulate, like, isn't everything going to be obvious in a way or meet that obviousness standard simply because skilled artisans are going to know, well, I use this model to do this, right? And you as a patent seeker, patent applicant, you're gonna have to jump over a higher bar than you used to because the tools are suddenly much more powerful. And I've read Robert's IP watchdog piece a couple of times now. It's really good. It's optimistic for sure that the patent system will still be standing. It'll find a way to adapt to this new world order. think one of the super interesting things that's probably happening in real time right now, and nobody's quite<\/p>\n<!-- \/wp:paragraph -->\n\n<!-- wp:paragraph -->\n<p>sort of put their finger on it, is that you have machines that are inventing. I mean, let's be serious. The machines are totally inventing, okay? And then the human steps in, does some analysis, and that sort of collective becomes the invention. And that collective goes into the patent, okay? So I'm being maybe a little crass, but that's kind of probably what happens in a lot of today's invention. Okay.<\/p>\n<!-- \/wp:paragraph -->\n\n<!-- wp:paragraph -->\n<p>You can see a world like forming sort of very quickly where you're going to have people trying to invalidate patents left and right because they're going to say, the machine invented that. You didn't invent that. And so isn't it, aren't we sort of staring down the barrel of this? If you really want to be able to enforce them confidently, you got to know what they are, right? And lots of reasons to do that. This is almost like the, this is like in a weird way, an extension of that or the converse or something where you're saying, look, in terms of the human step of whatever invention was, and if you're,<\/p>\n<!-- \/wp:paragraph -->\n\n<!-- wp:paragraph -->\n<p>read Plotkin's piece, it's pretty good. It's sort of saying, yeah, like, hey, I got all this data out of the machine. I went off and I thought about it. I saw this pattern. I saw that pattern. Good, good, good. I went and, whatever, told the machine to go do some more stuff, did some more analysis. There you go. That whole package. That's the innovation, right? Now, what part of that are you going to patent? Well, that's going to depend, right? But certainly that human step piece of it is critical. And it does feel a little bit like<\/p>\n<!-- \/wp:paragraph -->\n\n<!-- wp:paragraph -->\n<p>writing that down and making it clear that that was a human step is probably like super important right now. But much in the same way, if I say, Hey, this is my trade secret, right? This machine.<\/p>\n<!-- \/wp:paragraph -->\n\n<!-- wp:paragraph -->\n<p>training protocol, cetera, et cetera, right? Whatever it is. Like in other words, nobody can figure out quite figure out the TikTok algorithm, but maybe give it a few more years and the machine will figure it out. And so that trade secret that was the TikTok algorithm,<\/p>\n<!-- \/wp:paragraph -->\n\n<!-- wp:paragraph -->\n<p>maybe isn't really a trade secret anymore because now the machine can predict it. How do you react to that?
