多くの事件では、「善良な」企業と「悪質な」元従業員やその他の悪質な行為者が登場する。 私は最近、原告が不正行為の十分な(あるいは全く)証拠がないまま営業秘密横領の訴訟を起こすという逆のケースもあるのかと質問された。

原告が訴訟の引き金を引く前に十分な事前調査を行わなかったり、関連書類の一部または全部が不足していたりすると、間違いなく起こりうることである。

訴訟で被告が勝訴したとして、弁護士費用は回収できるのか? YESの場合もあればNOの場合もある。 DTSAでは、横領の主張が「悪意でなされた」場合、裁判所は勝訴当事者に妥当な弁護士報酬を与えることができる。

In TransPerfect Global v. Lionbridge Technologies, the US district court in New York granted summary judgment in Lionbridge’s favor.  There was no evidence that any trade secrets were obtained through improper means, no evidence of unpermitted use of trade secrets, no evidence of unauthorized disclosure, and no evidence of damage. Despite all this, the court did not award fees saying that Lionbridge failed to prove the “bad faith” high standard.

これに対し、イリノイ州第1控訴管区は、イリノイ州営業秘密法に基づく悪意による弁護士費用を認めた。 Multimedia Sales & Marketing, Inc.対Marison Marzullo訴訟において、原告のMSM社は、競合他社であるRAI社と競合他社に入社した元従業員3名を訴えた。

3人の従業員はMSMのセールス・リード・リストを持ち出し、RAIで使用したが、その情報は機密情報ではなく、企業秘密ではないと主張した。 その結果、MSMは日常的にこのようなリストを、守秘義務契約に基づかない潜在顧客と共有していたことが判明した。

トランス・パーフェクト社の場合とは異なり、控訴裁判所は、MSM社の営業秘密に関する請求は「事実に根拠があるものではなく、既存の法律または既存の法律を拡張する議論によって正当化されるものでもない」と指摘した。 弁護士費用は被告RAIに与えられた。
